Payment terms are defined in individual Service Agreements. Generally:

• A deposit (typically 50%) is required before work commences
• Remaining balances are due upon project completion or per milestones defined in the SOW
• Invoices unpaid after 30 days may accrue a late fee of 1.5% per month
• We reserve the right to suspend work on any project with outstanding unpaid invoices

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information exchanged during the course of a project engagement. This obligation survives the termination of any service agreement. We will not disclose your business information, project details, or trade secrets to third parties without your express written consent, except as required by law.

7. Disclaimers

This website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Exordium Concepts does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to Exordium Concepts in the three (3) months prior to the event giving rise to the claim.

Either party may terminate a service engagement with written notice as specified in the applicable Service Agreement. Upon termination, you will be invoiced for all work completed to date. Exordium Concepts reserves the right to terminate or suspend access to this website for any user who violates these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Sonoma County, California.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms.
